Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Passive Income Club platform (the "Service"), operated by Passive Income Club ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is — and is not

The Service displays market data and chart analytics for Nifty 50 stocks and their options, and provides tools to assemble hypothetical option positions and record positions you have taken at your broker.

• The Service is provided for educational and informational purposes only. It is not investment advice, portfolio management, or a recommendation of any security, derivative, strategy, strike, or action.
• We are not a SEBI-registered investment adviser or research analyst, and nothing in the Service should be read as a recommendation tailored to you.
• The Service cannot place, modify, or cancel orders. Every trade you make is placed by you, at your broker, on your sole judgment and responsibility.
• Signals, summaries, and levels describe historical and current chart conditions. Past chart conditions do not predict future results.

2. Risk disclosure

Trading in options and other derivatives involves substantial risk of loss, including loss exceeding your initial margin, and is not suitable for every investor. You are solely responsible for evaluating any information shown by the Service before acting on it, and for the outcome of every trading decision you make. Consider consulting a SEBI-registered investment adviser before making investment decisions.

3. Eligibility and accounts

• You must be at least 18 years old and capable of entering a binding contract under Indian law.
• You must provide accurate account information and keep your login credentials confidential. You are responsible for all activity under your account.
• One account is for one person. Accounts may not be shared, resold, or transferred.

4. Market data

Market data in the Service — quotes, option chains and margin figures — is supplied through your own account with Lemonn Stock Broker, which you connect through Lemonn's official login (phone number, OTP and PIN). We never see or store your Lemonn password or PIN; Lemonn issues a daily access token, which is all the Service stores, and it expires every night. Your relationship with Lemonn is governed by Lemonn's own terms, and we are not responsible for the availability or accuracy of data provided by Lemonn. If the connection is unavailable, the Service shows the last available prices and labels them as such.

5. Subscriptions, billing, and cancellation

• Access to the Service requires a paid subscription, billed in advance on a recurring basis at the price shown at checkout. Displayed prices are inclusive of applicable GST.
• New accounts may receive a one-time free access period of 24 hours with limited features, without providing payment details. It is offered once per person, is not a subscription, creates no payment obligation, and may be changed or withdrawn at any time. Continued access after it ends requires a paid subscription.
• Payments are processed by our payment provider (Razorpay). We do not store your card or bank details.
• You may cancel at any time; cancellation stops future renewals and your access continues until the end of the period already paid.
• Refunds are governed by our Refund Policy.
• We may change subscription pricing with at least 30 days' notice; changes apply from your next renewal.

6. Acceptable use

You agree not to: (a) share, scrape, resell, or redistribute the Service's data or analytics; (b) reverse engineer, probe, or disrupt the Service; (c) use the Service to provide advice or signals to third parties, commercially or otherwise; (d) access the Service by automated means except through interfaces we provide; or (e) use the Service in violation of any applicable law or regulation, including securities regulations.

7. Intellectual property

The Service, including its software, design, analytics, and branding, is owned by us or our licensors and protected by applicable intellectual property laws. Your subscription grants you a personal, non-exclusive, non-transferable licence to use the Service for your own trading education and record-keeping. Positions and notes you record remain yours.

8. Availability and changes

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. Market data may be delayed, incomplete, or unavailable, including due to third-party outages (hosting, broker APIs). We may add, change, or remove features, and may suspend or terminate accounts that violate these Terms.

9. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any trading losses, loss of profits, loss of data, or indirect, incidental, special, or consequential damages arising from or related to your use of the Service. Our aggregate liability for any claim shall not exceed the subscription fees you paid to us in the three (3) months preceding the event giving rise to the claim.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access for breach of these Terms, unlawful use, or risk to the Service or other users. Sections 1, 2, 7, 9, 10, and 12 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory arbitration or consumer-protection provisions of applicable law, the courts at Hyderabad, Telangana shall have exclusive jurisdiction over disputes arising from these Terms or the Service.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified in the app or by email at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
